End User License Agreement

1. Definitions
- a. Company Content: Information, software, photos, videos, text, graphics, music, sounds, or other materials provided by the Company or third parties through the Product.
- b. User Content: Content, including reviews, comments, photos, videos, graphics, or text, created, posted, shared, or uploaded by Users.
- c. Account: The username and password selected by a User to access the Product.
2. License Grant
a. Scope
Subject to this Agreement, the Company grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Product solely for your internal business purposes, in compliance with all applicable laws. You may not use the Product for third-party services (e.g., service bureau, time-sharing) without our written consent.
b. Restrictions
You may not: (i) modify, reverse engineer, decompile, or disassemble the Product; (ii) share your Account information with others; (iii) exceed the scope of your license; or (iv) use the Product for unauthorized purposes.
c. Accessibility
The Product may be temporarily inaccessible due to maintenance, equipment malfunctions, or other causes beyond our control. Access is provided over third-party networks, and you assume all risks associated with such networks.
d. Equipment
You are responsible for providing and maintaining all hardware, software, and connectivity required to use the Product.
3. IMEI Modification
a. Functionality
The Product may include features for repairing or modifying a device’s International Mobile Equipment Identity ("IMEI"). Such actions are subject to strict legal and regulatory frameworks in many jurisdictions.
b. User Responsibility
You are solely responsible for verifying the legality of IMEI modification in your jurisdiction and complying with all applicable laws. Unauthorized or illegal use is strictly prohibited.
c. Risks
Modifying an IMEI may void warranties, impair device functionality, or result in legal consequences. You assume all risks associated with using this feature.
d. No Liability
The Company disclaims all liability for damages, legal consequences, or losses arising from the use or misuse of the IMEI modification feature.
4. User Account
a. Registration
To use the Product, you may need to register and create an Account. You are responsible for maintaining the confidentiality of your Account and all activities conducted through it.
b. Monitoring
We may monitor Accounts to ensure proper operation, compliance, and security of the Product.
c. Other Users
We are not responsible for the actions of other Users or their impact on the privacy, security, or availability of the Product.
d. Privacy
Your data is collected, stored, and used in accordance with our Privacy Policy at androidwintool.com/privacy, incorporated herein by reference.
5. Content
a. Company Content
All Company Content is protected by intellectual property laws. Your use is governed by this Agreement.
b. User Content
You are responsible for User Content you post. By posting User Content, you grant the Company a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, and display such content. You warrant that you have all necessary rights to post User Content.
c. Content Accuracy
We do not verify the accuracy of User Content and are not liable for its completeness, suitability, or delivery. You warrant that your User Content is accurate and complete.
6. Prohibited Conduct
You may not use the Product to:
- a. Engage in illegal, harmful, or offensive activities, including harassment, defamation, or invasion of privacy.
- b. Impersonate others or misrepresent affiliations.
- c. Infringe intellectual property rights.
- d. Transmit spam, viruses, or malicious code.
- e. Use automated systems (e.g., bots, spiders) to access the Product excessively.
- f. Predict criminal behavior or outcomes using data such as facial attributes, personal data, or other characteristics.
- g. Violate any applicable laws or third-party rights.
We may revoke your access for violations of these standards.
7. Intellectual Property
All rights to the Product, including intellectual property rights (e.g., patents, trademarks, copyrights), are owned by the Company or its licensors. This Agreement does not grant you any ownership or proprietary rights in the Product.
8. Third-Party Links
The Product may contain links to third-party websites. We are not responsible for their content, privacy policies, or practices. You access these sites at your own risk.
9. User Representations
By using the Product, you represent and warrant that:
- you have the legal authority to enter into this Agreement;
- your use will comply with all applicable laws and regulations;
- you will not use the Product for illegal activities.
10. Termination
We may suspend or terminate your access to the Product at our sole discretion, if we believe you have violated any terms of this Agreement. Upon termination, you must cease all use of the Product.
11. Disclaimer of Warranties
The Product is provided "as is," and we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of Liability
We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Product. Our total liability is limited to the amount you paid for the Product, if any.
13. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the Product or violation of this Agreement.
14. Cancellation and Refund Policy
Refunds are only available under circumstances specified in the Company's Refund Policy. You may cancel your subscription at any time, but refunds are not provided for the unused portion of the subscription.
15. Miscellaneous
a. Governing Law
This Agreement is governed by the laws of Hong Kong SAR, excluding conflict of laws principles. Disputes shall be resolved exclusively in Hong Kong courts.
b. Export Control
You agree to comply with all applicable export control laws, including those related to IMEI modification tools.
c. Notices
Communications must be sent to the Company at Unit 1603, 16th Floor, The L. Plaza, 367 - 375 Queen's Road Central, Sheung Wan, Hong Kong, or [email protected].
d. Force Majeure
Neither party is liable for delays due to unforeseeable events, including cybersecurity incidents, provided they promptly resume performance.
